Terms of Service

1. General Provisions

This Public Offer Agreement (hereinafter "Agreement") constitutes an official offer by Cash Cow (hereinafter "Service Provider") to enter into a service agreement for Amazon channel management on the terms set out below.

The Agreement is considered concluded from the moment the Client accepts this offer. Acceptance is the payment for services, submission of an application through the website, or sending written confirmation of acceptance of the terms.

2. Scope of Services

The Service Provider undertakes to provide the Client with Amazon channel management services, including but not limited to:

— Market and competitive landscape analysis

— Amazon growth strategy development

— Account operational setup

— Listing and content optimisation

— Advertising campaign management (PPC)

— Scaling and commercial performance improvement

The specific scope, deliverables, and pricing are defined in the individual commercial proposal agreed by both parties.

3. Pricing and Payment

Service pricing is determined individually for each Client based on the agreed scope of work, current account status, and agreed objectives.

Consultation (1 hour): paid as a one-time fee of $400 via Stripe payment system prior to the session.

Channel management: billed monthly in accordance with agreed terms. Specific amounts and payment schedules are fixed in the individual agreement.

All payments are made in US Dollars (USD). The Service Provider reserves the right to revise pricing with no less than 30 days’ notice to the Client.

4. Rights and Obligations of the Parties

The Service Provider undertakes to:

— Deliver services professionally and within agreed timelines

— Provide monthly reporting on key performance indicators

— Maintain confidentiality of the Client’s data

— Notify the Client of material changes to strategy

The Client undertakes to:

— Provide access to the Amazon Seller Central account within the agreed scope

— Make timely payments in accordance with the agreed terms

— Supply necessary information about products, objectives, and constraints

— Approve key decisions within reasonable timeframes

5. Confidentiality

Both parties undertake to maintain the confidentiality of all information received in the course of cooperation, including commercial data, strategies, financial indicators, and other information constituting a trade secret.

The confidentiality obligation applies throughout the term of the Agreement and for 3 years following its termination.

Disclosure of confidential information to third parties is permitted only with the written consent of the other party or in cases required by applicable law.

6. Liability of the Parties

The Service Provider is liable for the quality of services rendered within the limits established by this Agreement.

The Service Provider is not liable for:

— Results dependent on Amazon’s actions (algorithm changes, platform policy updates)

— Consequences of the Client providing inaccurate information

— Losses arising from the actions of third parties

— Lost profits of the Client

The total liability of the Service Provider under this Agreement shall not exceed the amount actually paid by the Client over the preceding 3 months.

7. Term and Termination

The Agreement enters into force upon acceptance of the offer and remains in effect for the agreed period (typically no less than 6 months for channel management services).

Termination by the Client: possible with 30 days’ notice. Amounts paid for services already rendered are non-refundable.

Termination by the Service Provider: possible in the event of a material breach by the Client (payment overdue by more than 14 days, failure to provide required access) with 14 days’ notice.

Upon expiry, the Agreement may be extended by mutual agreement of the parties.

8. Refund Policy

Consultation ($400): a refund is available if cancelled no later than 24 hours before the agreed session time. Cancellations made less than 24 hours in advance or no-shows are non-refundable.

Monthly retainer payments: non-refundable once the billing period has commenced, as services are delivered on a continuous basis.

To request a refund, please contact hello@cash-cow.agency with the reason and payment details. Requests are reviewed within 5 business days.

9. Intellectual Property

All materials developed by the Service Provider in the course of delivering services (strategies, listing copy, advertising structures, reports) are transferred to the Client upon full payment for the corresponding period.

The Service Provider retains the right to use anonymised data and aggregated results for analytical and marketing purposes without disclosing the Client’s identity.

The Client warrants that all materials provided (photos, texts, trademarks) do not infringe the rights of third parties.

10. Force Majeure

The parties are released from liability for failure to perform obligations if such failure is caused by force majeure circumstances: natural disasters, military actions, government authority actions, technical failures on the part of Amazon or payment systems.

The party affected by force majeure must notify the other party within 5 business days. If force majeure persists for more than 30 days, either party has the right to terminate the Agreement without penalty.

11. Governing Law and Dispute Resolution

This Agreement is governed by applicable law. The parties shall endeavour to resolve all disputes through negotiation.

Claims should be submitted to hello@cash-cow.agency. The review period for a claim is 30 calendar days from the date of receipt.

If a dispute cannot be resolved amicably, it shall be referred to the competent court in accordance with applicable law.

12. Amendments

The Service Provider reserves the right to amend this Public Offer Agreement by notifying the Client no less than 14 days before the amendments take effect.

Continued use of services after the amendments take effect constitutes the Client’s acceptance of the updated terms.
